1. Definitions

• “AGTT”: The developer and owner of AGTT SmartSuite
• “Software”: AGTT SmartSuite, the Microsoft Excel add-in
• “User”: The natural or legal person who installs or uses the Software
• “Free Features”: Documentation Pane, Questions Pane, SRA Sampling
• “Paid Features”: Snap (€10/user/month), Sense (€20/user/month additional)
• “Subscription”: A paid license for access to Paid Features

2. License Grant

2.1 Free license

AGTT grants you a non-exclusive, non-transferable, revocable license to use the Free Features of the Software for business purposes, free of charge.

2.2 Paid license

Access to Paid Features requires an active Subscription. Upon payment, AGTT grants you a non-exclusive, non-transferable license to use the relevant features for the duration of the subscription period.

2.3 Restrictions

You may NOT:

• • Copy, modify, or distribute the Software
  • Reverse-engineer, decompile, or disassemble the Software
  • Sublicense, rent, or lend the Software
  • Use the Software for illegal purposes
  • Use the Software to circumvent the security of Microsoft products

3. Subscription and Payment

3.1 Pricing

3.2 Payment

• • Billing occurs monthly in advance
  • Payment is due within 14 days of the invoice date
  • In case of late payment, access to Paid Features may be suspended

3.3 Automatic renewal

Subscriptions are automatically renewed for the same period, unless you cancel at least 30 days before the end of the period.

3.4 Cancellation

• • You can cancel your Subscription by sending an email to info@agtt.nl
  • After cancellation, you retain access until the end of the current subscription period
  • Amounts already paid are non-refundable

4. Conformity Warranty

4.1 Functionality

AGTT warrants that the Software will substantially function as described in the documentation at www.agtt.nl/smartsuite-support during the subscription period.

4.2 Updates

During the subscription period, AGTT will provide updates to:

• • Address security issues
  • Maintain compatibility with Microsoft Excel
  • Fix significant bugs

4.3 Remedy for non-conformity

If the Software does not function in accordance with the warranty, AGTT will:

1. 1. Repair or replace the Software at no cost, or
   2. If repair is not possible, provide a pro-rata refund for the remaining subscription period

This warranty applies for 2 years in accordance with the EU Digital Content Directive (2019/770).

5. Liability

5.1 Limitation

AGTT’s total liability under this agreement is limited to the amount you have paid for the Software in the 12 months preceding the claim.

5.2 Exclusions

AGTT is not liable for:

• • Indirect, incidental, or consequential damages
  • Loss of data (you are responsible for backups)
  • Damage from improper use of the Software
  • Damage from modifications to the Software by third parties

5.3 Exceptions

The above limitations do not apply to:

• • Damage caused by intent or gross negligence of AGTT
  • Liability that cannot be legally excluded

6. Intellectual Property

6.1 Ownership

AGTT retains all intellectual property rights to the Software, including but not limited to copyrights, trademarks, and patents.

6.2 Feedback

If you provide suggestions or feedback about the Software, AGTT may use these freely without any obligation to you.

7. Termination

7.1 By you

You may terminate this agreement at any time by:

• • Uninstalling the Software
  • Canceling your Subscription (if applicable)

7.2 By AGTT

AGTT may terminate this agreement immediately if you:

• • Breach these terms
  • Use the Software for illegal purposes
  • Fail to meet payment obligations (after notice)

7.3 Effects of termination

Upon termination:

• • You lose the right to use the Software
  • Your data remains in your Excel files (local storage)
  • Obligations that by their nature are intended to survive termination remain in effect

8. Data Protection

The processing of personal data is described in our Privacy Policy at www.agtt.nl/smartsuite-privacy. By entering into this agreement, you acknowledge that you have read this policy.

9. Governing Law and Disputes

9.1 Governing law

This agreement is governed by Dutch law.

9.2 Competent court

Disputes shall be submitted to the competent court in the Netherlands.

9.3 Online dispute resolution

For consumers in the EU: You may also use the European Commission’s Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr/

10. Right of Withdrawal

10.1 Consumer distance purchase

If you purchase the Software or a Subscription as a consumer, you have the right to withdraw from the agreement within 14 days of purchase without giving any reason.

10.2 Exception

The right of withdrawal expires once you have installed and used the Software, unless the Software substantially deviates from the description.

10.3 Procedure

To exercise your right of withdrawal, send an unambiguous statement to info@agtt.nl.

11. Changes

AGTT may change these terms. In case of significant changes:

• • You will be informed at least 30 days in advance
  • You may cancel your Subscription if you do not agree
  • Continued use after the change date constitutes acceptance

12. Miscellaneous

12.1 Entire agreement

This agreement constitutes the entire agreement between you and AGTT regarding the Software.

12.2 Severability

If any provision is void or voidable, the remaining provisions remain in effect.

12.3 No waiver

Failure to enforce a right under this agreement does not constitute a waiver of that right.
